1. Acceptance of Terms
By accessing, downloading, installing, or using Zentalk ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
These Terms constitute a legally binding agreement between you and Zentalk (operated by Zentachain) regarding your use of the Service. By using Zentalk, you represent that you are at least 13 years of age and have the legal capacity to enter into this agreement.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Zentalk is a decentralized, end-to-end encrypted messaging platform designed to provide private and secure communication. The Service includes:
- Encrypted one-on-one messaging
- Encrypted group conversations
- File and media sharing with encryption
- Voice and video calls (where available)
- Self-sovereign identity management
- Decentralized message routing
The Service operates on a decentralized network, meaning messages are not stored on central servers. This architecture provides enhanced privacy but also means that certain features available in centralized services may work differently or be unavailable.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. User Accounts
Account Creation: Zentalk uses a self-sovereign identity system. Your account is created locally on your device through cryptographic key generation. No email address or phone number is required.
Account Security: You are responsible for maintaining the security of your account and cryptographic keys. Since Zentalk does not store your keys, we cannot recover your account if you lose access to your keys. We strongly recommend backing up your recovery phrase in a secure location.
Account Responsibilities: You are responsible for all activities that occur under your account. You agree to:
- Keep your recovery phrase and private keys secure and confidential
- Not share your account credentials with others
- Notify us immediately if you suspect unauthorized access to your account
- Accept responsibility for all communications sent from your account
4. Acceptable Use
Permitted Uses: You may use Zentalk for lawful personal and business communication purposes, including:
- Private messaging with individuals and groups
- Sharing files and media
- Voice and video communication
- Any other lawful purpose consistent with these Terms
Prohibited Uses: You agree not to use Zentalk to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit malware, viruses, or other malicious code
- Engage in harassment, abuse, or threatening behavior
- Distribute illegal content, including child exploitation material
- Engage in fraud, scams, or deceptive practices
- Attempt to compromise the security or integrity of the network
- Interfere with other users' use of the Service
- Impersonate others or misrepresent your identity
- Use automated systems to abuse the Service
While we cannot monitor encrypted communications, we reserve the right to take action against accounts reported for violations, including termination of access to our distribution channels.
5. Intellectual Property
Zentalk's Rights: The Zentalk name, logo, and all related trademarks, service marks, and trade names are the property of Zentachain. The Service's design, features, and functionality are protected by copyright and other intellectual property laws.
Open Source Components: Zentalk includes open source software components that are subject to their respective licenses. These licenses are available in our source code repository and within the application.
License to Use: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. This license does not include the right to:
- Modify or create derivative works of the Service (except as permitted by open source licenses)
- Reverse engineer or decompile the Service (except as permitted by law)
- Remove any proprietary notices or labels
- Use the Service for commercial purposes without authorization
6. User Content
Ownership: You retain full ownership of all content you create, share, or transmit through Zentalk ("User Content"). We do not claim any ownership rights over your User Content.
Your Responsibility: You are solely responsible for your User Content, including ensuring you have the right to share it and that it complies with these Terms and applicable laws.
No Monitoring: Due to end-to-end encryption, we cannot access, review, or monitor User Content. You understand that:
- We are not responsible for User Content transmitted through the Service
- We cannot retrieve lost or deleted User Content
- You are responsible for backing up any important User Content
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from the Service will be accurate or reliable
- Any errors in the Service will be corrected
- The Service will meet your specific requirements
You understand that you download or otherwise obtain content through the Service at your own discretion and risk.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZENTALK, ZENTACHAIN, OR THEIR AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Any unauthorized access to or use of our servers or any personal information
- Any interruption or cessation of transmission to or from the Service
- Any bugs, viruses, or other harmful code transmitted through the Service
- Any content obtained from the Service
- Loss of your encryption keys or recovery phrase
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.
9. Termination
Termination by You: You may stop using the Service at any time by uninstalling the application and deleting your local data. Due to our decentralized architecture, there is no account to "delete" on our servers.
Termination by Us: We reserve the right to restrict access to the Service or terminate your ability to use specific features if:
- You violate these Terms
- Your use poses a security risk to the Service or other users
- Required by law or government request
- We discontinue the Service
Effect of Termination: Upon termination, your right to use the Service ceases immediately. Sections regarding intellectual property, disclaimers, limitation of liability, and governing law survive termination.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the German Arbitration Institute (DIS), except where prohibited by law.
You agree to submit to the personal jurisdiction of the courts located in Berlin, Germany, for any actions not subject to arbitration.
Notwithstanding the above, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.
11. Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last updated" date at the top of these Terms
- Provide notice through the app for material changes
- Post the updated Terms on our website
Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
